The Company wishes to have its products certified as kosher by The Agency. The Agency agrees to inspect and oversee The Company's production process to ensure compliance with Jewish dietary laws (kashrut). Upon successful compliance, The Agency will grant The Company the right to display its kosher certification symbol.
What's Covered: This agreement specifies exactly which products, production lines, and/or facilities of The Company are being certified.
What's Not: It might also clarify if certain products or areas are excluded from certification.
The Company agrees to:
Maintain Kosher Standards: Strictly follow all kosher requirements provided by The Agency for ingredients, production methods, cleaning, and storage.
Full Disclosure: Provide The Agency with complete and accurate information about all ingredients, suppliers, manufacturing processes, and any changes to these.
Access for Inspections: Allow The Agency's representatives (Rabbis or Mashgichim/Supervisors) to access facilities, production records, and inventory at any reasonable time, often without prior notice, to conduct inspections.
Cooperation: Fully cooperate with The Agency's representatives during inspections and address any concerns or issues promptly.
Proper Labeling: Only use the kosher symbol on products specifically certified by The Agency and in the manner approved by The Agency.
Fees: Pay all agreed-upon certification fees on time.
The Agency agrees to:
Provide Kosher Guidance: Offer clear instructions and guidance on how to meet kosher requirements.
Conduct Inspections: Regularly inspect The Company's facilities and processes to ensure ongoing compliance.
Grant Certification: Upon satisfactory compliance, issue a kosher certificate for the agreed-upon products/facilities.
Authorize Symbol Use: Grant permission to use its kosher symbol on certified products.
Confidentiality: Keep The Company's proprietary information confidential, except as necessary for the purpose of certification.
Duration: The certification is for a period of one year.
Renewal: Both parties must agree to renew the certification annually, often requiring a new inspection and updated agreement.

Certification Fees: The cost for the certification services.
Payment Schedule: Payments are due annually.
Additional Costs: Any potential extra charges, such as for special inspections or travel.
The Agency can suspend or revoke the kosher certification if:
The Company fails to meet kosher standards.
The Company breaches any part of this agreement (e.g., non-payment of fees, denial of access).
The Company misuses the kosher symbol.
The Company misrepresents its kosher status.
Consequence: If certification is suspended or revoked, The Company must immediately stop using the kosher symbol on its products and packaging.
The kosher symbol is owned by The Agency.
The Company is granted a limited, non-transferable license to use the symbol only on certified products and only during the term of the agreement.
Misuse of the symbol can lead to legal action.
The Company typically agrees to indemnify (protect) The Agency from any claims, damages, or lawsuits that arise from The Company's products or its failure to comply with this agreement or kosher laws.
Governing Law: This specifies which state or country's laws will apply to the contract.
Dispute Resolution: How any disagreements between The Agency and The Company will be handled (e.g., negotiation, mediation, arbitration, or litigation).
Either party may be able to terminate the agreement under certain conditions, such as:
Mutual agreement.
Breach of contract by the other party.
Bankruptcy.
